The United States Securities and Exchange Commission (SEC) is set to press charges against Dozy Mmobuosi, the Chief Executive Officer of Tingo Group. The charges stem from alleged fabrication of financial statements and documentation related to three entities within the Tingo Group umbrella, namely Tingo Mobile, Tingo Foods PLC, and Tingo Group itself.
Dozy Mmobuosi, along with the three Tingo subsidiaries, has been named as defendants in the case, facing charges that include insider trading, providing false information to auditors, and failure to disclose the sale of millions of common shares, for which Mmobuosi was identified as the ultimate beneficial owner. Additional charges include violations of internal controls.
The SEC’s decision to press charges follows a formal investigation into Tingo Group initiated a month ago. Concurrently, the SEC imposed a trading suspension on the shares of the self-proclaimed agritech company.
According to the SEC’s filing, “Mmobuosi made and caused the entities to make material misrepresentations about their business operations and financial success in press releases, periodic SEC filings.”
A notable misrepresentation highlighted by the SEC reveals that although Tingo Group reported having cash and cash equivalents amounting to $461.7 million for the fiscal year 2022, the actual funds in its bank accounts totaled less than $50. The SEC further accuses Mmobuosi of “fraudulently obtaining hundreds of millions in money or property through these schemes” and diverting funds for personal luxuries, including luxury car purchases, private jet travel, and an unsuccessful attempt to acquire an English Football Club Premier League team.
The allegations against Tingo Group gained attention when Hindenburg Group, a renowned American short seller, published an explosive report in June 2023. The research firm unequivocally labeled Tingo Group as an “exceptionally obvious scam with completely fabricated financials.”
